The Terrible NLA-KGL deal: Full documents of 2019 and 2024 contracts

Attached are the full NLA-KGL contract documents. The first document is the full 2019 NLA-KGL contract, and the second is the current 15-year contract signed in 2024 for KGL’s operation of the NLA’s 5/90 lottery online and via USSD in Ghana. We have not included two additional separate 10-year contracts for KGL to operate the NLA’s 5/90 lottery in Nigeria and Cote d’Ivoire.

Based on the terms of the 2019 contract, KGL would have paid the NLA a total of GHC600 million being 20% of the GHC3 billion the company earned as gross revenue in 2024. This amount was disclosed to The Fourth Estate by the KGL Group Chairman, Alex Dadey, during an interview. Additionally, KGL would have paid GHC15 million to the NLA for integrating and interfacing its online lottery platform with the NLA-owned online lottery monitoring platform for real-time monitoring of lottery sales, prize payment, pre and post draw transactions through the NLA Application Programme Interface to ensure transparency and accountability. Note this in paragraph 6.0 of the 2019 contract. This key provision was taken out of the current 15-year contract signed in 2024. The taking out of this key provision prevented the NLA from knowing how much KGL was earning.

On the back of this analysis, KGL would have paid the NLA a total of GHC615 million in 2024. But in the current 15-year contract, KGL was to pay the NLA a total GHC118.2 million in 2024. On the basis of these contractual differences, the NLA was denied a whopping GHC496.8 million in 2024.

Also pay attention to the revenue section on page 4 of the 2019 contract. The terms changed completely in the current contract to the disadvantage of the NLA.

Also note in paragraph 1.5 (page 2 ) of the 2019 contract that KGL was fined GHC 10 million for illegally operating NLA’s 5/90 lottery online.
